Well-informed investors in accordance with the law of 13 February 2007 on specialised investment funds (fonds d’investissement spécialisés, SIF) are institutional, professional as well as any other investors who meet the following conditions:
a) He or she has agreed to the classification as well-informed investor in written form and
b) (i) he or she invests at least €125,000 in the SIF or (ii) he or she disposes of an assessment of a credit institution as defined in Directive 2006/48/EC, of an investment firm as defined in Directive 2004/39/EC or of a management company as defined in Directive 2009/65/EC. This evaluation must certify the investor’s expertise, expert knowledge and proficiency for reasonable assessment of investments in specialised investment funds (fonds d’investissement spécialisés).
An investor may be classified as professional investor if he or she can be considered as professional customer or can be treated as professional customer upon request as specified in Annex II to Directive 2004/39/EC.
Semi professional investor means any investor in terms of Article 1 (19) 33 of the German investment code (KAGB).
Professional investor means any investor who is considered a professional client within the meaning of Annex II to Directive 2004/39/EC or who can be treated as a professional client upon request.
According to Art. 10 Abs. 3 KAG the following count as qualified investors: (a) regulated financial intermediaries such as banks, securities traders, fund management companies and asset managers of collective investment schemes, as well as central banks; (b) regulated insurance institutions; (c) public entities and retirement benefits institutions with professional treasury operations, and (d) companies with professional treasury obligations.
Furthermore, high net-worth individuals can also declare in written form that they want to be classified as qualified investors according to Art. 10 Abs. 3bis KAG. Investors who have signed an asset management contract according to Art. 3 Abs. 2 Bst. b and c KAG are classified as qualified investors unless they have declared they do not want to be classified as a qualified investor in written form.
